We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or via email. Your continued use after changes constitutes acceptance of the new Terms.

Intended Use:
The App is intended to help organize and track caregiving activities. It should be used alongside, not instead of, professional medical guidance.
Always consult healthcare professionals for medical decisions. In emergencies, call 911 or your local emergency services immediately.
You are responsible for maintaining the confidentiality and security of your account.
Account Creation:
• You must provide accurate and complete information
• You must keep your account information up to date
• One person may not maintain multiple accounts
• You must be authorized to provide information about care recipients
Account Security:
• You are responsible for all activity under your account
• You must use a strong, unique password
• You must not share your login credentials
• You must notify us immediately of any unauthorized access
• Enable biometric authentication when possible
Care Recipient Authorization:
By adding a care recipient to the App, you represent that:
• You have legal authority to manage their care information
• You have obtained necessary consents (if the care recipient is capable of providing consent)
• You will use the information solely for caregiving purposes
Care Team Management:
When you invite others to your care team:
• You are responsible for whom you invite
• You control their access permissions
• You can revoke access at any time
You agree NOT to use Solantis for any of the following:
Illegal Activities:
• Any activity that violates local, state, national, or international law
• Fraud, identity theft, or financial crimes
• Harassment, stalking, or threatening others
Data Misuse:
• Collecting information about other users without consent
• Sharing care recipient information without authorization
• Using data for marketing or advertising purposes
• Selling or distributing data obtained through the App
Technical Abuse:
• Attempting to reverse-engineer, decompile, or disassemble the App
• Introducing malware, viruses, or harmful code
• Attempting to gain unauthorized access to our systems
• Interfering with the proper functioning of the App
• Automated access or scraping of data
Content Violations:
• Uploading illegal, harmful, or inappropriate content
• Impersonating others or creating fake accounts
• Posting false or misleading information
Commercial Misuse:
• Using the App for unauthorized commercial purposes
• Reselling or sublicensing access to the App
• Creating derivative works without permission
Violation of these terms may result in immediate termination of your account and may be reported to appropriate authorities.
All intellectual property rights in Solantis belong to us or our licensors.

License to You:
We grant you a limited, non-exclusive, non-transferable, revocable license to:
• Download and install the App on your personal devices
• Use the App for personal, non-commercial caregiving purposes
Your Content:
You retain ownership of content you upload (documents, photos, notes). By uploading content, you grant us a license to:
• Store and back up your content
• Display your content to authorized care team members
• Process your content to provide App features
Restrictions:
You may not:
• Copy, modify, or distribute the App
• Remove any proprietary notices
• Use our trademarks without permission
• Create competing products based on our work
Feedback:
Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

Limitation of Damages:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLANTIS SHALL NOT BE LIABLE FOR:
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Any damages arising from your use or inability to use the App
• Any damages related to third-party services
Cap on Liability:
Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim, or $100, whichever is greater.
Exceptions:
Some jurisdictions do not allow certain limitations. In such cases, the limitations apply to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless Solantis and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your Conduct:
• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or share
Care Team Activities:
• Actions of care team members you invite
• Unauthorized access resulting from your failure to secure your account
Legal Proceedings:
• We may participate in our own defense at our expense
• You may not settle any claim without our written consent
• We will provide reasonable cooperation in your defense
This indemnification obligation survives termination of your account and these Terms.
Either party may terminate this agreement at any time.
Your Right to Terminate:
• You may delete your account at any time through App settings
• You may stop using the App at any time
• Upon deletion, we will remove your data per our Privacy Policy
Our Right to Terminate:
We may suspend or terminate your account immediately, without prior notice, if:
• You violate these Terms
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the service
Effects of Termination:
Upon termination:
• Your right to use the App ends immediately
• You must delete any App copies on your devices
• Sections that should survive will remain in effect (liability, indemnification, governing law)
Data After Termination:
• You may export your data before account deletion
• We retain data according to our Privacy Policy
• Anonymized data may be retained indefinitely

Governing Law:
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions.
Dispute Resolution:
Before filing a lawsuit, you agree to try to resolve disputes informally by contacting us at legal@solantis.health. We will try to resolve your concern within 30 days.
Arbitration Agreement:
Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted in Miami, Florida.
Class Action Waiver:
You agree to resolve disputes on an individual basis. You waive any right to participate in class actions or class arbitrations.
Exceptions:
• Either party may seek injunctive relief in court
• Small claims court actions are permitted
• Intellectual property disputes may be litigated
Time Limitation:
Any claim must be filed within one year after the cause of action arises.
The App may contain links to or integrate with third-party services.
Third-Party Services:
We use third-party services to provide certain features:
• Cloud storage (data hosting)
• Push notifications
• Analytics (anonymized)
• Payment processing (if applicable)
Third-Party Terms:
Your use of third-party services is subject to their terms and privacy policies. We are not responsible for:

App Store Terms:
You must also comply with the terms of the app store from which you downloaded Solantis (Apple App Store, Google Play Store).
No Endorsement:
References to third-party products or services do not constitute endorsement.

Entire Agreement:
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Solantis regarding the App.
Severability:
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver:
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment:
You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.
Force Majeure:
We are not liable for delays or failures resulting from circumstances beyond our reasonable control.
